Each member of the Board of Directors will be obliged to sign the document “ Board Member Agreement “, which defines the list of duties and rules of work. The second document “ Board of Directors Code of Ethics ” sets common ethical rules of conduct, who should follow the participants of the Board of Directors. At the beginning of next year, taking into account the submitted documents it is planned to revise the composition of current participants in the board of directors and begin attracting new persons to the organization of the organization.

New requirements are considering the Board of Directors as a supervisory and advisory body that controls the activities of the Fund’s leadership (president and executive director) and helps in achieving the goals set in front of the Fund. The participants of the Council directly prohibited to interfere with the work of the staff and communicate with the media on behalf of the whole organization (all media requests must be redirected to the specially selected representative, and the issues related to staff should be resolved in general meetings or through the president / executive director).

Requirements regulate compulsory participation in the Committees and the presence at the annual meetings of the Council, as well as at least 75% of the meetings held by the Committees. To work in the organization, participants of the Council should allow at least 100 hours a year. The document also prescribes annually to conduct a general discussion with an assessment of the activities of each participant and prohibits the disclosure of confidential information about the Fund’s work if its disclosure is not approved in writing.

The Ethics Code prescribes to put the interests of the organization above personal interests, prohibits to speak on behalf of the organization, take bribes or promote some solutions in selfish interest, show discriminatory or offensive behavior, violate the confidentiality of internal proceedings, use property, personnel and other resources of the organization For personal purposes, engage in activities that harm the organization or leads to a rupture of relations with employees, sponsors and other individuals or legal entities interacting with the organization.
